THESE TERMS OF SERVICE CONTAIN A BINDING ARBITRATION REQUIREMENT AND CLASS ACTION WAIVER THAT IMPACT YOUR LEGAL RIGHTS TO RESOLVE DISPUTES UNLESS YOU OPT OUT. PLEASE READ IT CAREFULLY.

Clout Nation, LLC, along with its subsidiaries and affiliates (collectively, "Clout Nation" or "we"), provides the Clout Nation website, mobile applications, and other online products and services.

These Terms of Service inform you of the general terms that you agree to when using our Services. Some of our Services may have additional terms that apply specifically to that Service. These Terms of Service, together with any additional specific Service terms, are collectively called the “Terms.” By using any of the Services, you acknowledge that you are entering and using this site at your own free will and agree to be bound by the Terms. Clout Nation shall not be held liable for any consequences arising from your use of the Services. If you do not agree to these Terms, including the mandatory arbitration provision (see “DISPUTES-ARBITRATION” below), or our Privacy Policy, do not access or use the Services.

  1. AUDIENCE AND ACCOUNTS

You must be at least 18 years old to register for the Services. You must be at least 13 years of age in the U.S., or 16 years of age in countries subject to the EU General Data Protection Regulation ("GDPR"), unless exempted by country-specific exceptions, to use the Services. If you are between 13 (or 16 in countries subject to the GDPR) and 18 years of age, you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms and our Privacy Policy. If you are under 18, do not attempt to register for the Services or provide any personal information. If we learn that we have collected personal information from a child under the required minimum age, we will delete that information promptly. If you believe a child under the required minimum age has provided personal information, please contact us using our contact form.

By using the Services, you agree to: (a) Maintain the security of your account by not sharing your password or other access credentials; (b) Restrict access to your account and your computer or mobile device; (c) Promptly notify Clout Nation if you suspect any security breaches related to the Services; (d) Take responsibility for all activities that occur under your account and accept all risks of unauthorized access; and (e) Comply with these Terms and the Community & Content Policy.

You understand that you are responsible for all data charges incurred by using the Services.

  1. YOUR USE OF THE SERVICES

You agree that your use of the Services will not violate any law, contract, intellectual property rights, or any other third-party rights. You are solely responsible for your conduct while using the Services and assume all risks associated with your use.

When using the Services, you further agree not to:

  • Use the Services in a way that could inhibit other users from fully enjoying them or that could impair their functionality;

  • Engage in discriminatory, defamatory, hateful, harassing, obscene, threatening, or otherwise objectionable conduct;

  • Falsely claim a relationship with Clout Nation or imply its endorsement;

  • Send unsolicited advertising or promotional materials;

  • Attempt to reverse engineer, manipulate, or interfere with the Services;

  • Use another user’s account without authorization;

  • Develop third-party applications that interact with the Services without prior written consent;

  • Use automated means (e.g., bots, crawlers, scripts) to access or manipulate the Services.

  1. USER CONTENT

By creating an account on Clout Nation, you grant Clout Nation all rights of ownership to any pictures, videos, music, or other media you upload, as well as any posts you create within the platform. This includes the right to use, reproduce, modify, publish, and distribute your content in connection with our services and promotion of Clout Nation.

You retain the right to delete your account and content at any time, but any media posted prior to deletion may still be stored in our systems unless explicitly requested for removal.

You may create, post, send, and store content, including messages, text, photos, and videos ("User Content"). You may only post User Content that: (a) Is non-confidential; (b) You own or have the necessary rights to post; (c) Has the written consent of identifiable individuals included in the content; (d) Is accurate and not misleading; and (e) Complies with these Terms and applicable laws.

User Content that violates these Terms, infringes intellectual property rights, contains false information, or is otherwise inappropriate is strictly prohibited.

  1. COPYRIGHT COMPLAINTS

Clout Nation respects intellectual property rights. If you believe your work has been copied in a way that constitutes copyright infringement, please notify us at Support@cloutnation.com, and we will promptly remove the infringing material from the website.

  1. HOW WE RESPOND TO VIOLATIONS

To prevent abuse of the Services, Clout Nation has the right to monitor your use. We may investigate violations, report activities to law enforcement, and use collected data to improve the Services.

To the fullest extent permitted by law, Clout Nation shall not be held responsible or liable for any illegal activities, damages, losses, or outcomes arising from the use of the Services. Users acknowledge and agree that they are solely responsible for their actions and interactions while using Clout Nation. The company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the use of the Services, including but not limited to damages resulting from user content, interactions, or conduct.

Furthermore, Clout Nation disclaims any liability for the actions, omissions, or conduct of any users or third parties. By using the Services, users agree to release, indemnify, and hold harmless Clout Nation and its affiliates from any claims, liabilities, damages, losses, or expenses arising out of their use of the Services or their violation of these Terms. Users assume full responsibility for their use of the Services. Clout Nation reserves the right to:

  • Remove any User Content that violates these Terms;

  • Suspend or terminate user accounts at any time;

  • Restrict access to the Services without prior notice.

If you are deemed a repeat offender (i.e., notified twice about prohibited activity or content removal), your access to the Services will be permanently terminated.

 

 

  1. PRIVACY POLICY

Your use of the Services is subject to our Privacy Policy, which outlines how we collect, store, and process your personal information. To learn more, please review our Privacy Policy.

  1. CHANGES TO THESE TERMS

Clout Nation may update these Terms at any time. We will notify you of significant changes, and continued use of the Services after updates constitutes acceptance of the new Terms.
